  1. Parties and Scope. These terms govern the use of the Operayn LLM gateway service (the "Service") provided by [Company Legal Name] (the "Service Provider"). By registering or using the Service you are deemed to have accepted these terms.
  2. Definitions. The terms "User", "Tenant (organization)", "Gateway Key", "Model", "Wallet/Balance", "Subscription" and "Quota" are used with the meanings given in the Service interface.
  3. Account and Security. The User is responsible for the confidentiality of the account and gateway keys. Two-factor authentication is mandatory for super administrator accounts.
  4. Acceptable Use. The Service may not be used for unlawful or harmful purposes, purposes that infringe rights, or abusive purposes (spam, malware, unauthorized access). Content moderation and upstream provider policies apply.
  5. Pricing. Usage is charged via token-based consumption, wallet prepayment and/or subscription plans. Prices and margins are published in the Service panel. Taxes (VAT etc.) apply additionally. Details: Distance Sales Agreement.
  6. Currency (Contract in Foreign Currency). Pricing, wallet balance, invoicing and collection are denominated in US Dollars (USD). By accepting these terms, the parties are deemed to have expressly agreed that the price is set and paid in USD (foreign currency) (a foreign-currency contract under the Turkish Code of Obligations and applicable legislation). As required by law, the invoice also shows the TRY equivalent calculated at the Central Bank of Türkiye (TCMB) buying rate on the invoice date alongside the USD amount.
  7. Exchange-Rate Difference. Any exchange-rate difference arising between the invoice date and the payment/collection date may be invoiced separately under the applicable tax legislation and is the responsibility of the relevant party. The applicable VAT exemption applies to cross-border (export) service sales.
  8. Service Level and Outages. The Service is provided "as is"; failover/circuit-breaker mechanisms operate on a best-effort basis. The Service Provider cannot be held liable for outages of upstream model providers. Planned maintenance is announced in advance where possible.
  9. Data and Privacy. Personal data is processed in accordance with the KVKK Information Notice and the Privacy Policy. Prompt/response content is processed according to the selected model and local embedding configuration.
  10. Intellectual Property. The Service software and trademarks belong to the Service Provider. User content belongs to the User; the Service Provider holds only the limited license necessary to provide the Service.
  11. Limitation of Liability. To the maximum extent permitted by applicable law, no liability is accepted for indirect/incidental damages; total liability is limited to [the fees paid for the relevant period].
  12. Suspension and Termination. The account may be suspended/terminated in case of breach of these terms, payment default or abuse. The User may cancel their subscription at any time.
  13. Changes. These terms may be updated; material changes are announced to the User.
  14. Governing Law and Jurisdiction. [The law of the Republic of Türkiye] applies; the courts and enforcement offices of [İstanbul] have jurisdiction. Consumer Arbitration Committees remain available for consumer transactions.
