Drawn up pursuant to the Turkish Consumer Protection Law No. 6502 and the Regulation on Distance Contracts. The Preliminary Information Form is also provided before purchase.
1. Parties
Seller: [Company Legal Name], [Address], [MERSIS], [Tax No], [Email], [Phone].
Buyer: the organization and authorized user specified at registration/order.
2. Subject of the Agreement
The sale of a digital service subscription and/or wallet (prepaid usage) for the Operayn LLM gateway service. The service constitutes digital content/service.
3. Price and Payment (Foreign Currency / USD)
The price is denominated in US Dollars (USD). By accepting this agreement, the Buyer accepts the foreign-currency agreement whereby the price is set and paid in USD (foreign currency). As legally required, the invoice shows both the USD amount and the TRY equivalent calculated at the TCMB buying rate on the invoice date. Current prices, plans/quotas and margins are published in the Service panel; whether VAT is included or excluded is clearly stated. Payment is collected via the PayTR infrastructure; card details are not stored by the Seller. Collection may also be made via a foreign-currency (USD) account.
3.1. Exchange-Rate Difference and Export Exemption
Any exchange-rate difference arising between the invoice and payment dates may be invoiced separately under tax legislation. Invoices issued to customers abroad qualify as exports, are issued directly in USD and benefit from the applicable VAT exemption; the TRY equivalent is still shown at the TCMB buying rate on the invoice date.
4. Performance and Delivery
The service is activated electronically immediately after payment confirmation (digital performance).
5. Right of Withdrawal
Pursuant to Art. 15/1-ğ of the Regulation on Distance Contracts, the right of withdrawal may not apply to digital services performed instantly in the electronic environment with the consumer's consent. Refund conditions for unused balance/subscriptions are set out in the Cancellation and Refund Policy.
6. Dispute Resolution
For consumer transactions, Consumer Arbitration Committees and Consumer Courts have jurisdiction within the announced monetary limits. In other cases, the courts of [İstanbul] have jurisdiction.
